CORPORATE GOVERNANCE

Corporate governance is a critical issue to Australian businesses, with companies - large and small –facing increased scrutiny by regulators and stakeholder groups. FAL has an informed understanding of how evolving government policy is likely to affect the law.

We deliver corporate governance services to all forms of businesses including, start-up companies, associations & not-for-profits, proprietary companies, companies limited by guarantee, as well as publicly listed companies. In doing so, we draw on the personal experience of several of our senior practitioners, who are board members of significant public or private organisations.

Some examples of our previous work in this area include:

  • Constitution & Rules drafting and advice
  • Director and Shareholder Resolutions
  • Preparing Directors' Handbook, a manual for directors (new and old) of organisations
  • Advising universities and CRCs on audit and compliance requirements
  • Preparing privacy policies for a major international conglomerate
  • Providing advice for both the private and public sector on whistleblowers' obligations
  • Mediation between directors and other key stakeholders
  • Trade practices
  • Risk management
  • Conflicts of interest
  • Transparent and accountable decision-making
  • Directors' Duties and insolvent trading
  • Internal policies and procedures
